Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ClaimsPointe software service operated by Eagle Eye Media Ventures("we," "us,"). By accessing or using the Service, you agree to be bound by these Terms on behalf of yourself and the organization you represent.
1. The Service
ClaimsPointe is a web-based claims management platform designed for auto dealerships and dealer groups. The Service allows authorized users to create, track, and manage vehicle insurance claims, repair records, subrogation matters, and litigation files. Access is provided on a subscription basis.
2. Accounts and Access
You must be at least 18 years old and authorized to act on behalf of your organization to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
The Service uses role-based access: admin, handler, and viewer roles. The subscribing organization’s administrator is responsible for assigning roles appropriately and removing access for departed employees promptly.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation
- Attempt to gain unauthorized access to any portion of the Service or its infrastructure
- Upload malicious code, viruses, or files designed to disrupt the Service
- Scrape, crawl, or systematically extract data from the Service without our written permission
- Resell or sublicense access to the Service to any third party
- Use the Service to store or transmit data unrelated to claims management operations
4. Your Data
You retain ownership of all claim data, documents, and files you upload or create within the Service ("Customer Data"). We do not claim any intellectual property rights over Customer Data.
You grant us a limited license to store, process, and transmit Customer Data solely to provide the Service to you. We will not use Customer Data for any other purpose, including training machine learning models or sharing with third parties outside the scope described in our Privacy Policy.
5. Subscription and Payment
The Service is offered under annual subscription agreements, priced per rooftop. Pricing details are available at https://claimspointe.com/pricing. Your subscription begins on the date your organization goes live and renews annually unless cancelled.
Invoices are issued at the start of each subscription term. Payments are due within 30 days of invoice. Accounts more than 30 days past due may be suspended until payment is received.
Pricing changes will be communicated at least 60 days before your renewal date.
6. Uptime and Support
We target 99.5% monthly uptime for the Service, excluding scheduled maintenance windows. Email support is included on all plans. Group and enterprise plans include dedicated onboarding and priority support. We do not offer refunds for downtime except as expressly agreed in an enterprise SLA.
7. Confidentiality
Each party agrees to keep the other’s confidential business information — including pricing, roadmap, and technical architecture — strictly confidential and not to disclose it to third parties without prior written consent.
8. Intellectual Property
The Service, including its software, design, and content (excluding Customer Data), is the exclusive property of Eagle Eye Media Ventures and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements without our written permission.
9. Termination
Either party may terminate the subscription at the end of the current annual term with 30 days’ written notice. We may suspend or terminate access immediately if you materially breach these Terms and fail to cure within 10 business days of written notice.
Upon termination, you may export your Customer Data within 90 days. After that window, data will be permanently deleted per our data retention policy.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
12. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in New York County, New York, and both parties consent to such jurisdiction.
13. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms.
